1. Acceptance of Terms

Welcome to Luyando Agency. By accessing and using our website luyandoagency.com and contracting our marketing and sales automation services for real estate agents, you agree to be legally bound by these Terms and Conditions.

If you do not agree with any of these terms, please do not use our services.

2. Service Description

Luyando Agency offers the following marketing and sales automation services for real estate agents:

2.1 Content Automation System

• Script idea library so you record your own content (you film, we don't)
• Automated reception of your recorded material
• Professional editing with color grading, transitions, licensed music, and motion graphics
• Automated delivery of edited content, approval, and automatic publishing
• Automated reply and follow-up to social media comments (ManyChat)
• Includes 10 edited videos per month within your plan

2.2 Secretaria AI

• Assistant that replies to your leads' WhatsApp messages
• Schedules property visits
• Answers questions about your property details
• Notifies you when a client needs personal attention

2.3 Geographic Coverage

We offer our services in USA, Canada, and Mexico.

3. Contracting Process

3.1 Service Request

To hire our services, you must complete our contact form or communicate directly with us. We will provide a quote based on your specific needs.

3.2 Proposal and Acceptance

Once we receive your request, we will send you a detailed proposal including:

• Project scope
• Price
• Delivery timelines
• Payment terms

The contract is considered accepted once you confirm your acceptance in writing (email) and make the corresponding initial payment.

4. Pricing and Payments

4.1 Pricing

Our services are offered through monthly plans: Content Automation System, Secretaria AI, or Combo (both services). Current pricing for each plan is available at luyandoagency.com and in your client dashboard.

All prices are subject to applicable taxes.

4.2 Payment Terms

• Your plan is billed monthly, in advance, before each service cycle begins
• Accepted payment method: credit/debit card via Stripe

4.3 Payment Delays

Service will not begin until the first payment is received. A delay in a monthly payment may result in temporary service suspension until it's settled.

5. Delivery Timelines

We commit to delivering your edited video in 3-5 business days after receiving all necessary material.

• Timelines begin once we receive ALL complete and approved filming material
• More complex projects may require more time, which will be specified in the proposal
• Filming services in Puebla are coordinated according to availability

7. Revisions and Modifications

7.1 Included Revision Rounds

Each project includes 2 rounds of revisions at no additional cost to ensure your complete satisfaction.

7.2 Additional Revisions

Additional revisions beyond those included may have an extra cost, which will be communicated before proceeding.

7.3 Major Changes

Significant changes to the project scope after work has begun (e.g., complete concept change, new videos) will be considered a new project and quoted separately.

8. Client Responsibilities

8.1 Filming Material

The client is responsible for providing:

• Video material of sufficient quality for editing
• Videos filmed following our technical guidelines
• Complete material in requested formats
• Necessary permissions to use the material (music, images, locations)

8.2 Communication and Approvals

• Respond to information requests in reasonable time (48-72 hours)
• Approve concepts, scripts, and drafts within agreed timeline
• Provide clear and specific feedback

8.3 Use of Delivered Material

The client commits to using the edited material only for agreed purposes and not to resell or distribute it in a way that competes with our services.

8.4 Use of WhatsApp and Secretaria AI

The WhatsApp number you connect to Secretaria AI remains yours and your business's. You are responsible for ensuring your use of your number complies with WhatsApp/Meta policies; Luyando is not responsible for restrictions or blocks Meta applies to your account due to misuse on your part (spam, contacting people without their consent, etc.).

9. Intellectual Property

9.1 Client Rights

Once full payment is completed, the client receives:

• Full license to use the edited video for promoting their real estate business
• Right to publish on social media, website, and marketing materials
• Final files in multiple formats (stories, reels, feed)

9.2 Luyando Agency Rights

Luyando Agency retains:

• Right to use the video in our portfolio and marketing materials
• Rights over project files, techniques, and processes used
• Right to mention the client as a reference (unless otherwise agreed)

9.3 Music and Third-Party Content

We use licensed music from commercial libraries. The client receives commercial use license as part of the service. We do not guarantee rights over specific music requested by the client that requires special licenses.

10. Cancellations and Refunds

10.1 Cancellation by Client

You can cancel your plan at any time from your dashboard, effective immediately.

• There is no refund for time already worked within the current month.
• If you cancel mid-cycle on an already-paid month, we'll finish delivering that month's work as normal, but the following month will not be charged or worked on.

10.2 Cancellation by Luyando Agency

We reserve the right to cancel a project if:

• The client does not provide necessary material after multiple requests
• There is non-compliance with payment terms
• The client's behavior is abusive or disrespectful toward our team

In case of cancellation by us, the proportional unused part will be refunded.

11. Limitation of Liability

11.1 Scope of Our Liability

Luyando Agency will NOT be liable for:

• Loss of client income or sales due to delays
• Misuse of material by the client
• Quality issues arising from poor source material
• Copyright claims for material provided by the client
• Technical issues on third-party platforms (Instagram, TikTok, etc.)

11.2 Monetary Limit

In no case will our total liability exceed the amount paid for the specific service in question.

12. Confidentiality

We commit to keeping all client information confidential, including:

• Business information and strategies
• Unpublished video material
• End client contact data
• Lead conversations handled by Secretaria AI

This confidentiality does not apply to information that is in the public domain or that we must disclose by law.

13. Force Majeure

We will not be responsible for non-compliance with obligations due to circumstances beyond our reasonable control, including:

• Natural disasters
• Internet or hosting service failures
• Pandemics or public health emergencies
• Acts of government or war

In such cases, we will notify the client and agree on new deadlines or alternative solutions.

14. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will take effect immediately upon publication on our website.

Current clients will be notified by email of significant changes. Continued use of our services after changes constitutes acceptance of the new terms.

15. Applicable Law and Jurisdiction

These Terms and Conditions are governed by the laws of Mexico. Any dispute will be resolved in the competent courts of Puebla, Mexico.

Both parties agree to attempt to resolve any dispute first through good faith negotiation before resorting to legal proceedings.

16. General Provisions

16.1 Entire Agreement

These Terms and Conditions, along with any accepted proposal, constitute the complete agreement between the parties.

16.2 Severability

If any provision of these terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Failure to exercise any right under these terms does not constitute a waiver of that right.
